Terms & Conditions

1. Introduction & Acceptance

These Terms and Conditions ("Terms") govern the relationship between Grofast Digital BD ("Agency", "we", "us", "our") — a digital marketing agency registered and operating in Bangladesh — and any individual, business, or organisation ("Client", "you") that engages our services.

By signing a Service Agreement, making a payment, or using any service provided by Grofast Digital BD, you confirm that you have read, understood, and agree to these Terms. These Terms comply with applicable Bangladesh law, including the Contract Act 1872, the Information and Communication Technology Act 2006 (amended 2013), and relevant consumer protection regulations.

2. Services Provided

Grofast Digital BD provides the following services, subject to the specific package or agreement:

  • Search Engine Optimisation (SEO)
  • Facebook & Google Ads Management
  • Social Media Marketing & Management
  • Web Design & Development
  • Content Creation & Copywriting
  • AI Marketing Automation
  • Brand Strategy & Consulting

The specific scope, deliverables, and timelines for each service are detailed in the individual Service Agreement or proposal signed between both parties.

3. Payment Terms

  • Monthly Retainers: Payment is due on or before the 1st of each service month. Services may be paused if payment is not received within 5 business days.
  • Project-Based: A minimum 50% advance is required before work commences. The remaining 50% is due upon project completion, before final handover.
  • Accepted Payment Methods: bKash, Nagad, Bank Transfer (BRAC Bank / Dutch-Bangla Bank), and international wire transfer (USD).
  • Late Payment: Invoices unpaid after 10 business days may incur a 2% monthly late fee. Grofast Digital BD reserves the right to suspend services for non-payment.
  • Ad Spend: Paid advertising budgets (Facebook Ads, Google Ads) are separate from management fees and are the sole responsibility of the Client.

4. Client Obligations

To ensure successful delivery of services, the Client agrees to:

  • Provide accurate, complete, and up-to-date business information
  • Grant necessary access to platforms (Facebook Business Manager, Google Analytics, website admin, etc.) within 3 business days of project start
  • Respond to requests for content, feedback, and approvals within 5 business days
  • Ensure all provided content, images, and trademarks are legally owned or licensed by the Client
  • Not misuse, sell, or redistribute any strategy documents, reports, or creative assets produced by the Agency

5. Intellectual Property

All creative assets, strategies, reports, and code produced by Grofast Digital BD remain the intellectual property of the Agency until full payment is received. Upon full payment, the Client receives a non-exclusive licence to use the deliverables for their own business purposes. The Agency retains the right to display completed work in its portfolio.

6. Confidentiality

Both parties agree to keep confidential all proprietary information, business data, strategies, and trade secrets shared during the engagement. This obligation remains in effect for 2 years after the termination of services.

7. Results & Guarantee Disclaimer

Digital marketing results depend on numerous variables including market conditions, ad platform algorithms, industry competition, and client-side factors. Grofast Digital BD does not guarantee specific results (e.g., a specific number of leads, sales, or a specific Google ranking position) unless explicitly stated in a signed Performance Agreement. The Agency commits to applying industry best practices and maximum effort toward agreed goals.

8. Termination

  • By Client: Monthly retainer services may be cancelled with 15 days' written notice. No refund is issued for the current billing month.
  • By Agency: Grofast Digital BD may terminate services with 7 days' notice if the Client breaches these Terms, engages in illegal activity, or fails to make payment.
  • Project-Based: If the Client cancels a project after commencement, the advance payment is non-refundable. Additional charges may apply based on work completed.

9. Limitation of Liability

Grofast Digital BD's total liability to the Client shall not exceed the total fees paid by the Client in the 3 months preceding the claim. The Agency is not liable for indirect, incidental, or consequential damages including loss of revenue, data, or business opportunity.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People's Republic of Bangladesh. Any disputes shall first be attempted to be resolved through mutual negotiation within 30 days. If unresolved, disputes shall be submitted to the courts of jurisdiction in Dhaka, Bangladesh.

11. Amendments

Grofast Digital BD reserves the right to update these Terms at any time. Clients will be notified of material changes via email. Continued use of our services constitutes acceptance of the updated Terms.
